Special General Meeting


Dear Members

Have your say on the future of your society!

This is an exciting time to be a member of the NSW Society for Computers and the Law.

Our society has a long and proud history. Founded in 1982, the Society has played a critical role opening dialogue between IT professionals and Lawyers on a broad range of issues and their impact, both on our professions and broader society.

To build on this tradition and to keep pace with a rapidly changing world, our Society has entered into a historic agreement with our Victorian counterparts.


The purpose of the agreement is to provide a framework through we will work together to serve the interests of our members, sponsors and broader community under the banner of the:

Australian Society for Computers and the Law

To improve the governance of the Society and to provide a strong base on which to grow, the Management Committee proposes to incorporate the Society.

Have your say on the future of our Society by attending our Special General Meeting on 3 December 2019.

This email provides you with notice of the following meeting:


NSW Society for Computers and the Law

Special General Meeting
Tuesday 3 December 2019 at 5pm

Minter Ellison Governor Macquarie Tower, 1 Farrer Place, Sydney

  • 1.       Members will be asked to vote on the following resolution:
That the NSW Society for Computers and the Law (Society) be dissolved pursuant to cl.45(1) of the Constitution no later than 31 December 2019, and that pursuant to cl.45(3) of the Constitution, any property of the Society, which remains after satisfaction of all the Society’s debts and liabilities shall be distributed to the Australian Society for Computers and the Law (NSW) upon its creation.
  • 2.       If the above resolution is passed, members will be asked to vote on the following two resolutions:
(1)    That a new Incorporated Association be formed with the name Australian Society for Computers and the Law (NSW) or similar (abbreviated as AUSCL), and that:
   (a)   AUSCL adopt the Proposed Constitution* (AUSCL(NSW) constitution - SGM 3-Dec-2019.pdf)
   (b)   All existing members of the NSWSCL become members of AUSCL
   (c)    All existing Committee Members (if they elect to do so) become the Management Committee of AUSCL
*Please note that the Proposed Constitution is based upon the model constitution for associations provided by the NSW Department of Fair Trading (here).



(2)    That the  Society’s funds may be used to cover the costs associated with the incorporation and setting up of the Australian Society for Computers and the Law (NSW), including government charges, registration of business names, web-hosting and software licences necessary for the establishment and operation of AUSCL.
